Represented Spark Energy, Inc. in the acquisition of the Verde Energy Companies, a Connecticut based retail energy provider. I led a team of two lawyers to make this acquisition and was the primary negotiator in the transaction.

Represented Spark Energy, Inc. in the acquisitions of Major Energy Companies (a New York based retail energy provider) and Provider Power, LLC (a New England based retail energy provider). I was the sole lawyer working on this transaction on behalf of the acquiror.
2015
Represented Spark Energy, Inc. in the acquisition of Oasis Energy, LLC, a privately held retail energy provider based in Houston, Texas. I was the sole lawyer working on this transaction on behalf of the acquiror.

Represented Madagascar Oil in the farm out of certain exploration assets in Madagascar. I negotiated the farmout documentation as company’s sole counsel.

In my capacity as General Counsel of IEA, I acted as primary legal and commercial negotiator/transaction leader in a series of equity infusions totalling $200M from private equity sponsors while simultaneously restructuring company’s credit facility.

Formation and negotiation of retail electricity joint venture in Japan with eRex, Ltd., a Tokyo Stock Exchange listed company based in Tokyo, Japan. I acted as in house counsel managing outside counsel on this transaction.

Development of $220 million steam flood pilot project in Tsimiroro, Madagascar.

Redstone/Merrill Lynch Joint Venture- US $220 million secured facility provided by Merrill Lynch International to subsidiary of Redstone created to acquire and hold finance assets in the United Kingdom.

To Present
Formation of $600 million private equity fund for the purpose of investments in sustainable, environmental and renewable energy assets. I am in house counsel to the fund manager and a team member on this transaction tasked with reviewing and assisting in the negotiation of limited partnership agreements for the fund, side letters with investors, subscription documents and placement agent agreements. I work with outside counsel and the firm’s founder.

Representation of Infrastructure and Energy Alternatives, Inc. (“IEA”) in a secondary public offering of its common stock.
2019
Representation of IEA in the issuance of $200 million of Series B Preferred Stock to Ares and Oaktree. In my capacity as General Counsel of IEA, I acted as primary legal and commercial negotiator/transaction leader in this transaction.
